 TAD - Independent Contractor

TAD is an independent contractor and is not an employee, partner, joint venturer, waste hauler, disposal company, or legal representative of Customer except for the limited authorization expressly stated in this Agreement and the Letter of Authorization.

TAD has no authority to bind Customer to a new hauler contract unless Customer has expressly approved such action in writing.

Customer agrees to:

• Provide TAD with current invoices, service agreements, contracts, location lists, service details, equipment information, and vendor contact information.
• Execute a Letter of Authorization for TAD.
• Timely review and approve or reject proposed recommendations.
• Pay all valid hauler and vendor invoices when due.
• Comply with applicable laws and regulations regarding waste, recycling, disposal, hazardous materials, and prohibited materials.
• Inform TAD of any service issues, location changes, acquisition changes, closures, ownership changes, or vendor communications relevant to the services.
• Not bypass TAD to implement TAD’s proprietary recommendations without paying applicable fees.
